The agreement that governs your use of Yuktify products and services.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and Jarohina Technologies Private Limited ("Yuktify", "Company", "we", "us"), a company registered under the Companies Act, 2013, having its registered office at 2nd Fl, Shop-2120, Westfield Mall, near Tanishq Jewellery, Athwalines, Athwa, Surat, Gujarat 395001, India.

By accessing our website, requesting a quote, signing a service agreement, or using any of our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

2. Description of Services

Yuktify offers a portfolio of SaaS products and software development services, including:

  • WhatsApp Business + AI Automation
  • Institute Management System
  • Event Management System
  • Custom Web & Mobile Application Development
  • School Bus Tracking System
  • AI Teacher for Students

Each Service is offered separately. You are not required to purchase any bundle. Specific scope, pricing, deliverables, and timelines for each engagement are detailed in your individual Service Agreement / Quote / Statement of Work (SOW).

3. Quotes & Agreements

We provide custom quotes based on your requirements. Quotes are valid for 30 days unless otherwise stated. A quote is not a binding contract until accepted in writing and the agreed initial payment is received.

Once accepted, the quote, Service Agreement, and these Terms together form the complete agreement governing the engagement. In case of any conflict, the Service Agreement / SOW shall prevail.

4. Payment Terms

  • Payments must be made as per the schedule in your Service Agreement (typically: advance, milestone-based, or monthly subscription).
  • All fees are quoted in Indian Rupees (INR) and exclusive of applicable taxes (GST 18% in most cases).
  • Late payments may attract interest at 1.5% per month (18% per annum).
  • For subscription services, fees auto-renew unless cancelled before renewal as per cancellation policy.
  • We accept payments via bank transfer, UPI, debit/credit cards, and approved online gateways.

5. Customer Responsibilities

You agree to:

  • Provide accurate, current, and complete information when requesting Services.
  • Maintain confidentiality of any credentials, API keys, or access codes.
  • Provide timely feedback, content, and approvals required for project delivery.
  • Use our Services only for lawful purposes and in compliance with applicable laws.
  • Not use the Services for spam, fraud, harassment, or any illegal activity.
  • Comply with WhatsApp Business API policies (for WhatsApp customers).
  • Pay all fees and charges as per the agreed schedule.

6. Intellectual Property

a) Our IP

Yuktify retains all rights, title, and interest in our proprietary platforms, tools, frameworks, libraries, and pre-built modules used to deliver Services. This includes the Yuktify name, logo, trademarks, and underlying SaaS infrastructure.

b) Your IP / Custom Deliverables

For Custom Web & Mobile App Development engagements, upon full payment of agreed fees, you own the bespoke source code, custom designs, and content created exclusively for you. We retain rights to generic libraries, frameworks, and components developed by us prior to or independently of your engagement.

c) Your Content

You retain all rights to data, content, and materials you provide to us. You grant us a limited license to use such content solely to deliver the Services.

7. Confidentiality

Both parties agree to maintain confidentiality of all non-public information shared during the engagement. We will not disclose your business details, designs, or data to third parties without consent, except as required by law. Mutual NDAs can be signed upon request before discussions begin.

8. Data Protection

We handle personal data in accordance with our Privacy Policy and applicable Indian laws including the IT Act, 2000 and the Digital Personal Data Protection Act, 2023.

9. Service Availability & Support

We strive for 99.9% uptime on our SaaS products, with planned maintenance windows notified in advance. Specific Service Level Agreements (SLAs) are defined per Service Agreement. We are not liable for downtime caused by:

  • Third-party services (cloud providers, payment gateways, WhatsApp/Meta).
  • Internet connectivity issues at your end.
  • Force majeure events.
  • Customer-side misconfiguration or unauthorized changes.

10. Cancellation & Refunds

Cancellation, suspension, and refund procedures are governed by our Refund Policy. Generally:

  • Custom development projects: cancellation must be in writing; non-refundable for work already completed.
  • Subscription services: cancel anytime with 30 days notice; no refund for current billing period.
  • Hardware-included services (e.g. Bus Tracking GPS devices): non-refundable once installed.

11. Warranties & Disclaimers

We warrant that our Services will be performed with reasonable care and skill consistent with industry standards. Except as expressly stated, the Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, Yuktify's total aggregate liability arising out of or relating to these Terms or any Service shall not exceed the total fees paid by you for the specific Service in the 6 months preceding the claim.

In no event shall Yuktify be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.

13. Indemnification

You agree to indemnify and hold harmless Yuktify, its directors, employees, and agents from any claims, damages, or expenses arising out of: (a) your breach of these Terms; (b) misuse of the Services; (c) violation of third-party rights; or (d) violation of applicable laws.

14. Termination

We may terminate or suspend your access to Services immediately, without notice, if:

  • You breach these Terms or the Service Agreement.
  • You fail to pay fees when due.
  • You use Services for illegal or harmful purposes.
  • Required by law or court order.

Upon termination, all outstanding fees become immediately due. Customer data will be retained for 30 days post-termination for retrieval, after which it may be deleted.

15. Force Majeure

Neither party shall be liable for delays or failures due to causes beyond reasonable control, including natural disasters, war, terrorism, government action, pandemics, internet outages, or third-party platform failures.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or website notice. Continued use of Services after such notice constitutes acceptance of the updated Terms.

17. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts at Surat, Gujarat, India.

18. Dispute Resolution

Before initiating any legal proceeding, both parties agree to attempt good-faith negotiation for at least 30 days. If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator and seat at Surat, Gujarat.

19. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
